Well Planned and Managed;

Quick Comment: We believe the announcement of
new Chairman, Co-Chairman and CEO for Infosys has
something to please all (internal as well as external)
stakeholders in Infosys.

What's new: Mr. N. R. N. Murthy has been appointed
Chairman Emeritus. Mr. K. V. Kamath would be the new
the Chairman of the Board with Mr. S. Gopalakrishnan
(Kris) as the Co-Chairman. As widely anticipated Mr. S.
D. Shibulal would be the new Chief Executive Officer
and Managing Director - all effective August 21, 2011.
Key Highlights: 1) With the new structure, we believe.
Infosys has taken another step toward sustaining itself
once the core-group of founders retires from the
company over the coming years. 2) We believe the new
structure indicates that with scale, ability to manage
people and complexity would be as important as
technological expertise. Among other things, Mr.
Kamath’s expertise in managing complexity at ICICI
would be an asset for Infosys, in our view. 3) Mr. Kris
and Mr. Shibulal are currently the CEO and COO,
respectively, and we believe their new roles would
provide the required continuity for the team.
Our view: The countdown may have already started for
the next round of transition in a few years, and choosing
the first non-founder CEO for Infosys (after founders
retire) could be a bigger event in our view.

Other Highlights
1) Media reports indicate that Infosys Technologies would be
renamed as Infosys Ltd.
2) To attract the best candidates from outside for the role of
chairman Infosys board has decided to increase the retirement
age of the chairman from 65 to 70. This, however, will not be
applicable for the co-founders.
3) Retirement age for all executive roles will continue to be 60.
